Terms of Service

These Terms of Service ("Terms") govern your use of contractordraft.com (the "Service"), operated by Dalton Haglund ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. Account Registration

You must create an account to access most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support.contractordraft@proton.me if you suspect unauthorized access.

3. Free Tier and Subscriptions

The Service offers a free tier that includes up to 5 proposals per month. This limit resets at the beginning of each calendar month. There is no time limit on the free tier.

Pro subscriptions are billed monthly at $29.00 USD and provide unlimited proposal generation. Subscriptions renew automatically each month unless cancelled. You may cancel at any time through the customer portal accessible from your dashboard; cancellation takes effect at the end of the current billing period.

All payments are processed by Stripe. We accept Visa, Mastercard, American Express, and Discover. All fees are in USD and are non-refundable except where required by law.

You agree to use the Service only for lawful purposes. You may not:

5. AI-Generated Content and Document Disclaimer

Proposals and change orders are generated using third-party AI technology (OpenAI's ChatGPT API). You are solely responsible for reviewing all generated content before using it with clients. We make no guarantee that generated proposals or change orders are accurate, complete, legally sufficient, or appropriate for any particular use. AI outputs may occasionally contain errors or omissions.

6. Platform Not a Party to Agreements

ContractorDraft is a document generation and management tool. We are not a party to any agreement, proposal, contract, or change order created, sent, or signed through the Service. Any legal relationship formed through documents generated by the Service is solely between you and your client. We make no representation as to the enforceability or legal effect of any document created using the Service, and we accept no liability arising from the substance, terms, or execution of those documents.

7. Electronic Signatures

The Service includes an electronic signature feature that allows clients to accept or decline proposals and change orders by typing their name. This is intended to function as an electronic signature under the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) where applicable. 8. Intellectual Property

You retain ownership of any business information you input into the Service and the proposals generated from it. By using the Service, you grant us a limited license to process your inputs to provide the Service. We retain all rights to the Service's code, design, branding, and infrastructure.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED PROPOSALS WILL MEET YOUR REQUIREMENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Dispute Resolution

Before filing any formal dispute, you agree to first contact us at support.contractordraft@proton.me and attempt to resolve the matter informally. We will try to resolve the dispute within 30 days of receiving your notice.

If the dispute is not resolved informally, it shall be submitted to binding arbitration under the rules of the American Arbitration Association. Arbitration will take place in Marquette County, Michigan. You waive any right to participate in a class action lawsuit or class-wide arbitration. These Terms are governed by the laws of the State of Michigan.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service at any time. We will provide reasonable notice of material changes where possible. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct harmful to other users or to us. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Your saved proposals will remain accessible for 30 days following termination to allow for data export.
